Terms of service
Last updated: 29 October 2026
1. Who we are
VyScrip is a trade name of Swopster B.V., a private limited company under Dutch law, Coolsingel 104, 3011 AG Rotterdam, the Netherlands, KvK 97263753, VAT NL867976196B01. In these terms, "we" and "us" mean Swopster B.V. You can reach us at info@vyscrip.com.
2. Scope
These terms apply to every offer we make and every agreement for the use of VyScrip (the "service"). "You" means the business or organisation that creates an account or takes out a subscription. If you create an account for a company you work for, you confirm that you may bind that company to these terms.
VyScrip is for business use only. By creating an account you confirm that you act in the course of your trade, business or profession, and not as a consumer.
Your own general terms and conditions do not apply, even if you refer to them.
We ask you to accept these terms when you create an account, and we send you a link to them by email. You can read, save and print them on this page at any time.
3. What VyScrip is, and what it is not
VyScrip is a documentation support tool. It helps you prepare qualification documents: you import a user requirements specification (URS), link requirements to risk assessments and IQ, OQ and PQ test steps, and export protocols and a traceability matrix to Word.
- You print the exported documents, execute and sign them on paper. The signed paper document is the record. VyScrip does not provide electronic signatures and does not hold the executed record.
- VyScrip does not approve, release or qualify anything. Whether equipment is qualified is decided by the people who review and approve the documents.
- VyScrip does not currently have an audit trail or user roles. It is intended for individual users, not as a computerised system in which records are kept for GMP purposes.
- Whether, and how, you or your client validate or assess VyScrip before use is your decision, based on your own risk assessment. On request, we answer reasonable supplier questions about VyScrip.
4. Your responsibilities
- You are responsible for the content of your projects and documents, including everything you import, write, accept or export.
- You review every document before you issue, print or use it. This includes checking that each requirement is correctly imported and covered, and that test steps, acceptance criteria and risk assessments are correct and complete.
- If you use VyScrip for a client, you are responsible towards that client for how you use VyScrip and for the documents you deliver. You make sure you are allowed to upload your client's documents and data to VyScrip. If a third party makes a claim against us because you uploaded content you had no right to use, you compensate us for that claim.
- You keep your login details secret. Everything done with your account counts as done by you. Tell us immediately if you think someone else has access to your account.
- One subscription is for one user. You do not share your account with others.
- You do not misuse the service. For example: you do not try to access other users' data, overload or disrupt the service, copy or reverse engineer the software, or upload malware or content you have no right to use.
5. AI suggestions
VyScrip only uses AI when you click 'Generate suggestions' or 'Generate test steps'. Each suggestion is labelled AI, and you accept, edit or reject it yourself.
AI suggestions can be incomplete or wrong. They are a starting point, not advice. Once you accept a suggestion, it is your content, and section 4 applies to it.
6. Free trial
You can try VyScrip free of charge for 14 days. We do not charge you for the trial. To keep using VyScrip after the trial, you take out a paid subscription. If you do not, section 9 applies from the end of the trial.
The trial is a test version of the service. Section 10 (switching) does not apply to it.
7. Prices and payment
- Prices are shown on our pricing page, in euros and excluding VAT. VAT is added where it applies.
- A subscription runs per month or per year, as you choose. You pay in advance for each period. Payments are processed by our payment provider, Mollie.
- Your subscription renews automatically for the same period, until you cancel it. For a yearly subscription, we remind you by email at least 30 days before it renews.
- Early bird price: if you take out a subscription on or before 31 December 2026, you keep the early bird price for as long as that subscription continues without interruption. If you cancel and subscribe again later, the standard price at that time applies.
- We may change our prices. We tell you by email at least 30 days before a new price applies to you. The new price applies from your next period. If you do not agree, you can cancel before that date. Price changes do not apply to the early bird price while your early bird subscription continues.
- If a payment fails, we let you know. If you have not paid within 14 days after that, we may suspend your access until you have paid.
8. Cancelling and ending
- You can cancel your subscription at any time, in the app or by email. Cancellation takes effect at the end of the period you have already paid for. Until then you can keep using VyScrip.
- We do not refund payments for a period that has started, except where these terms say otherwise.
- We may only end your subscription ourselves if we stop offering VyScrip, or for another serious reason. We tell you at least 3 months in advance and refund the unused part of the period you paid for.
- We may suspend or end your account immediately if you seriously breach these terms, for example by misusing the service or not paying after suspension.
9. Your data after your subscription ends
- When your subscription or trial ends, your account becomes read-only: you can still sign in, view your projects and download your documents, but you cannot edit them.
- If you have had no trial or subscription for 12 months, we may close your account. We email you at least 30 days before we do.
- You can also ask us to close your account at any time.
- When your account is closed, we delete your data within 30 days, except data we must keep by law (for example invoices). Deleted data disappears from our backups in the normal backup cycle.
10. Exporting your data and switching
- You can download your documents in Word at any time. On request, we also give you an export of all your project data in a structured, machine-readable format, within 30 days and free of charge.
- If you want to move to another service, you can end your subscription with a notice period of at most 2 months, even if your paid period runs longer. We refund the unused part of the period you paid for. After the notice period, you have at least 30 days to retrieve your data. We help you switch at no charge.
11. Availability and changes to the service
- We do our best to keep VyScrip available and working correctly, but we do not guarantee that it is always available or free of errors. Planned maintenance is done outside office hours where possible.
- We make daily backups of the database.
- We develop VyScrip further and may change, add or remove features. If we remove a feature that is essential to how you use VyScrip, we tell you in advance, and you may cancel your subscription with a refund of the unused part of the period you paid for.
- The roadmap shows our plans, not a promise.
12. Intellectual property
- Your content stays yours. You give us permission to store, process and display your content only as far as needed to provide the service to you.
- We do not use your content to train AI models, and our AI provider does not either.
- The software, design and texts of VyScrip belong to us. You get a non-exclusive, non-transferable right to use VyScrip for as long as your account is active.
- If you send us feedback or ideas, we may use them freely, without any obligation to you.
13. Confidentiality
We treat your content as confidential. Only people working for us who need access to provide or support the service can access it, and they are bound to confidentiality. We do not share your content with others, except with the sub-processors listed in section 15, or if the law or a court order requires us to.
14. Liability
- We are not liable for damage caused by content you wrote, imported or accepted, including AI suggestions, as far as a careful review of the documents would have revealed the error. Reviewing and approving the documents is your responsibility (sections 3 to 5).
- We are not liable for indirect damage, such as lost profit, lost savings, damage from delay, damage from business interruption, or claims from your clients.
- Our total liability is limited to the amount you paid us for the service in the 12 months before the event that caused the damage, with a minimum of €500.
- These limits do not apply if the damage is caused by intent or deliberate recklessness of our management.
- To claim damages, you must tell us in writing within a reasonable time, and at the latest 90 days after you discovered the damage, describing it as precisely as possible. Any claim expires one year after you discovered the damage.
- We are not liable for failures caused by circumstances outside our control that we could not reasonably have prevented (force majeure), such as large-scale failures of internet or power networks.
15. Personal data in your projects
For your own account and billing details we are the controller; our privacy policy explains how we handle them. Your projects may also contain personal data of other people, such as names of people who prepare, review or approve documents. For that data, you are the controller and we are the processor. If you process that data for a client, we are your sub-processor, and this section applies in the same way. This section is the data processing agreement between us under Article 28 of the GDPR.
- What we process: names, job titles and other personal data you enter in your projects, of the people involved in your qualification projects. We store it, show it in the app, include it in your exports and, only when you click 'Generate suggestions' or 'Generate test steps', send the text involved to our AI provider. We do this only to provide the service to you, for as long as your account exists.
- Instructions: we process this data only on your documented instructions, also for transfers outside the EU. These terms and your use of the app are your instructions. If the law requires us to process it otherwise, we tell you first, unless the law forbids that. If we think an instruction breaks data protection law, we tell you immediately.
- Confidentiality: everyone who processes this data for us is bound to confidentiality.
- Security: we take appropriate technical and organisational measures. Data is stored in the EU (Ireland), encrypted, access is limited per user, and the database is backed up daily.
- Sub-processors: you give us general permission to use sub-processors. Currently: Supabase Pte. Ltd. (Singapore; database and login, data stored in the EU (Ireland); Supabase, Inc. (United States) may access data for support and operations), Anthropic (United States; AI suggestions, only when you click 'Generate suggestions' or 'Generate test steps') and Strato AG (Germany; email). We bind them to the same data protection obligations, and remain responsible for them. We tell you by email at least 30 days before we add or replace a sub-processor. You may object; if we cannot address your objection, you may cancel your subscription with a refund of the unused part of the period you paid for.
- Transfers outside the EU (Singapore and the United States) are covered by the European Commission's Standard Contractual Clauses in our agreements with these sub-processors.
- Assistance: we help you, as far as reasonable, to respond to requests from data subjects, and with security, data breach notifications, data protection impact assessments and prior consultations.
- Data breaches: we tell you without undue delay, and where possible within 48 hours, after we become aware of a personal data breach that affects your data, with the information we have at that time.
- End: before your account is closed, you can download your documents and ask for an export of all your data (section 10). When your account is closed, we delete the data within 30 days, unless the law requires us to keep it.
- Audits: we give you the information you need to show that these obligations are met, and allow and contribute to audits by you or an auditor you appoint, with at least 30 days' notice and at your own cost.
16. Changes to these terms
We may change these terms. We tell you by email at least 30 days before a change takes effect. If you do not agree, you can cancel your subscription before that date, with a refund of the unused part of the period you paid for. If you keep using VyScrip after that date, the new terms apply.
17. Other provisions
- We communicate with you by email, at the address of your account. You can reach us at info@vyscrip.com.
- We may transfer this agreement to another company that takes over VyScrip. We tell you in advance, and you may cancel with a refund of the unused part of the period you paid for.
- If these terms and the privacy policy differ about personal data in your projects, section 15 prevails.
- Sections that by their nature continue after the agreement ends, such as sections 9, 10, 12 to 15 and 18, remain in force.
18. Law and disputes
- Dutch law applies. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
- Disputes are decided by the competent court in Rotterdam, the Netherlands. We first try to solve any disagreement together with you.
- If a provision of these terms is invalid, the rest remains in force, and we replace the invalid provision with a valid one that comes as close as possible to its purpose.
- These terms are written in English. If we provide a translation, the English text prevails.
